How about, proximity chat comes on only in random events or when requested and accepted from player to player.

I think that's a great idea man good call

This defeats the purpose, because what if you see someone out in the wild, and you can't say "Hey, I like your armor. I have to leave now though. Good luck," and you could request for someone to join your party and they have to accept it.
