You've answered it in the first line. GOTY isn't decided by you or I but by companies like IGN and Gamespot.
This is why there has been outrage with some GOTY choices since while the majority may hold one game as a GOTY the minority can pick a different game.

Kind of. Essentially the big "review" companies have their own GOTY, however the "true" GOTY is dependent on overall numbers. The others are still GOTYs which is why you can see multiple GOTY editions come out in a year.
