If you are both simply interested in her....she gets a say in who she wants. If her chosing you over him is such an issue that it damages your relationship....then he really isn't a friend.
Now if she's already in a relationship with him....but her eye starts wandering in your direction? No way. Absolutely not. if she'll do it with you...she'll do it TO you.
In my way of looking at things, even if she breaks up with him...she's still off limits. An ex-girlfriend of my brothers and I got really close when I was in college. We were probably a better fit in terms of personality than she was with my brother....but that was NOT a line I was willing to cross out of respect for him. He would jokingly claim that he would be "okay" with it. But I knew him well enough to not believe it....and my own value system was screaming "NO".
